Terms of Service

By accessing or using the services provided by Agentex ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use our services. These Terms constitute a legally binding agreement between you and Agentex.

Agentex provides done-for-you AI agent deployment services for Indian enterprises. This includes:

• ·AI Deployment Sprints — scoped, fixed-fee engagements to automate a defined role or workflow
• ·Managed Retainer — ongoing maintenance, monitoring, and expansion of deployed AI agents
• ·Custom integrations — connecting AI agents to client tools (CRM, ERP, Jira, etc.)

Specific deliverables, timelines, and pricing are defined in individual Statements of Work or agreements.

All fees are denominated in Indian Rupees (INR) and are subject to applicable GST. Invoices are issued via Razorpay and are payable within the terms specified in your engagement agreement.

AI token costs (OpenAI, Anthropic, etc.) are billed at provider cost with zero markup. Monthly receipts are provided. A spending cap can be configured per client.

Late payments may result in suspension of services after 15 days written notice. Disputed invoices must be raised within 7 days of receipt.

Both parties agree to keep confidential any non-public information disclosed during the engagement, including business processes, technical architecture, and customer data. This obligation survives termination of the engagement for a period of 3 years.

Confidential information does not include information that is publicly known, independently developed, or required to be disclosed by law.

Agentex is committed to compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act) and applicable Indian data protection regulations. We process personal data only as necessary to deliver our services and in accordance with our Privacy Policy.

You retain ownership of all data you provide to us. We act as a data processor on your behalf and implement appropriate technical and organisational measures to protect your data. We do not sell, share, or use your data for purposes beyond service delivery without your explicit consent.

Data is hosted within India unless explicitly agreed otherwise. Upon termination, we will return or delete your data within 30 days as per your instructions.

All pre-existing intellectual property remains with the respective party. Custom deliverables created specifically for you during a sprint or engagement are assigned to you upon full payment.

Agentex retains ownership of its proprietary tools, frameworks, and methodologies. You receive a non-exclusive licence to use any Agentex platform components included in your deployment for the duration of your active subscription.

To the maximum extent permitted by applicable law, Agentex's total liability under these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

In no event shall Agentex be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Before initiating legal proceedings, the parties agree to attempt resolution through good faith negotiation for a period of thirty (30) days.

Either party may terminate the engagement with thirty (30) days' written notice. Upon termination, you shall pay for all services rendered up to the termination date. Sections on Confidentiality, Limitation of Liability, and Governing Law survive termination.
